July 9, 2025 – Seyfarth Shaw LLP has bolstered its Institutional Investors capabilities with the addition of Matthew Cohen as a partner in the Corporate department. Cohen, who joins Seyfarth from DLA Piper, will be based in Seyfarth’s Atlanta office.
Cohen advises institutional investors—including sovereign wealth funds, pension plans, and university endowments—on a wide range of investments across real estate funds (both open- and closed-ended), private equity funds, hedge funds, and other commingled vehicles such as buyout, venture capital, distressed debt, special opportunity, and infrastructure funds.
Cohen also regularly counsels clients on co-investments, joint ventures (with a focus on real estate joint ventures), direct investments, separately managed accounts and ‘funds of one,’ as well as investment management agreements. In addition, he frequently assists institutional investors with compliance, governance, and operational matters.

Cohen is the latest addition to Seyfarth’s expanding Corporate department, which just added four new partners as part of a 22-lawyer transactional group that moved to the firm in late June.
Cohen spent significant time in the Middle East as a secondee to a sovereign wealth fund based in the United Arab Emirates. Following his secondment, he remained in the region, advising sovereign wealth funds on a range of matters, including fund investments, co-investments, and direct local investments.

Cohen’s practice spans the full spectrum of investment-related legal work, including conducting legal due diligence for institutional investors, reviewing and negotiating fund documentation, negotiating amendments and side letters, and coordinating execution and closings. He also represents institutional investors in co-investments and separately managed accounts, including the negotiation of investment management agreements with a wide range of asset managers.

Cohen earned his JD at Southwestern University School of Law and his BS at Georgia Institute of Technology.
